These Terms of Service (“Terms”) govern your use of the Keane-Ventures, LLC D.B.A. Liminal Lending Company (“Liminal,” “we,” “us,” or “our”) website and platform services. By accessing or using our services, you agree to be bound by these Terms.

IMPORTANT: These terms contain binding arbitration and class action waiver provisions that affect your legal rights.

1. Service Description

Liminal operates a loan matching platform that connects borrowers with lenders for SBA and conventional business loans. Our services include:

• Loan application processing and submission
• Borrower-lender matching services
• Document management and verification
• Communication facilitation between parties
• Loan tracking and status updates

We are NOT a lender. We do not make lending decisions, provide loans, or guarantee loan approval. All lending decisions are made by third-party lenders.

2. Eligibility and Account Registration

Eligibility Requirements

To use our services, you must:

• Be at least 18 years old
• Have legal authority to enter into binding contracts
• Provide accurate and complete information
• Comply with all applicable laws and regulations
• Be a legal resident or citizen of the United States

Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

3. Acceptable Use

Permitted Uses

You may use our platform to:

4. Financial Services Disclaimers

Not a Lender

IMPORTANT: Liminal is not a bank, lender, or financial institution. We do not:

• Make loans or extend credit
• Make lending decisions
• Guarantee loan approval or terms
• Set interest rates or loan terms
• Provide financial advice or counseling

SBA Loan Disclaimers

SBA loans are subject to SBA approval and lender underwriting. We cannot guarantee SBA loan approval. The Small Business Administration does not endorse our services. SBA loan terms, rates, and eligibility requirements are determined by individual lenders and the SBA.

No Financial Advice

We do not provide financial, legal, accounting, or tax advice. You should consult with qualified professionals before making financial decisions.

5. Fees and Payment

Our platform may charge fees for certain services. All fees will be clearly disclosed before you incur them. Fees may include:

• Platform access fees
• Document processing fees
• Premium service fees
• Third-party service fees

All fees are non-refundable unless specifically stated otherwise. You authorize us to charge your payment method for all applicable fees.

By using our services, you consent to:

The platform, including all content, software, and materials, is owned by Keane-Ventures, LLC D.B.A. Liminal Lending Company and protected by intellectual property laws. You may not:

• Copy, modify, or distribute our content
• Reverse engineer our software
• Remove copyright or proprietary notices
• Use our trademarks without permission

8. Third-Party Services

Our platform integrates with third-party services including:

• Lenders and financial institutions
• Credit reporting agencies
• Identity verification services

• Payment processors

We are not responsible for the services, terms, or privacy practices of third parties. Your interactions with third parties are governed by their terms and policies.

9. Disclaimers and Limitation of Liability

OUR SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our total liability to you shall not exceed the amount of fees you have paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Keane-Ventures, LLC D.B.A. Liminal Lending Company and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses arising out of or related to your use of our services, violation of these Terms, or violation of any rights of another.

11. Dispute Resolution

Binding Arbitration

IMPORTANT: Most disputes will be resolved through binding arbitration rather than court proceedings. Any dispute arising out of or relating to these Terms or our services shall be resolved through final and binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

Class Action Waiver

YOU WAIVE YOUR RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATIONS.Claims must be brought individually.

Exceptions

The arbitration requirement does not apply to: (1) individual claims in small claims court, (2) injunctive or equitable relief to protect intellectual property rights, or (3) claims that cannot be arbitrated under applicable law.

12. Governing Law

These Terms are governed by the laws of TX without regard to conflict of law principles. Federal law applies where applicable, including federal banking and financial services regulations.

13. Termination

We may terminate or suspend your account and access to our services at any time, with or without notice, for:

• Violation of these Terms
• Fraudulent activity
• Legal or regulatory requirements
• Discontinuation of services

You may terminate your account at any time by contacting us. Upon termination, your right to use our services ceases immediately.

Our services are subject to federal and state financial services regulations, including but not limited to:

• Bank Service Company Act
• Truth in Lending Act
• Equal Credit Opportunity Act
• Fair Credit Reporting Act
• Gramm-Leach-Bliley Act
• USA PATRIOT Act
• SBA regulations
• State licensing requirements

You acknowledge that your use of our services must comply with all applicable laws and regulations.

15. Changes to Terms

We may update these Terms from time to time. Material changes will be effective 30 days after we provide notice by email or posting on our website. Your continued use of our services after the effective date constitutes acceptance of the updated Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
